A chairman is selected by a company's board to lead the board of directors, preside over meetings, and lead the board to consensus from the disparate points of view of its members. The chairman is the presiding director over the other directors on the board and is expected to be fair, a good listener, and a good communicator. The chairman holds many responsibilities which include interviewing and selecting CEO prospects, creating and editing the company policies and procedures, focus on long-term goals of the company for it to continue to be profitable, and conduct regular meetings with the CEO and top executives. Chairmen are required to "chair," or facilitate and preside over, company board meetings. They are expected to determine the agenda of the meeting at hand, encourage discussion and participation from all directors and board members and relay pertinent information regarding current events within or pertaining to the company. A chairman is also expected to point issue discussions and debates toward a consensus stance, upon which the majority of the board agree, and which can therefore be acted upon for the expected benefit of the company or organization. For productive meetings to take place, the board in question needs to consist of an effective balance of members in regards to the board members' ages, work experience and personalities. This organizational or compositional process is ongoing; as a person carries on in their role of chairman, they will find that board members will either leave of their own volition or will need to be replaced. Additionally, a chairman needs to involve directors already on the board to mentor new directors who are new to their position. They ensure effective communication with shareholders, host governments and other relevant constituencies and that the views of these groups are understood by the Board. A chairman supports the Chief Executive in the development of strategy and, more broadly, to support and advise the Chief Executive.
